1. Acceptance of Terms

By accessing or using Msgly.AI ("Service"), operated by Chopa AI LTD ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.

2. Eligibility

The Service is intended for users who are at least 18 years old. By using Msgly.AI, you represent that you are 18 or older and have the legal capacity to enter into this agreement.

3. Description of Service

Msgly.AI is an AI-powered platform that helps users create personalized LinkedIn messages. Our service includes:

• Chrome Extension: Browser extension for LinkedIn integration (runs only on linkedin.com/in/*)
• AI Message Generation: Personalized message creation using advanced AI models
• Profile Analysis: User-initiated only. On Analyze, we upload the profile page HTML, apply a ~93–96% reduction, and extract minimal fields. A one-time automatic scan may occur for your own profile during setup.
• User Dashboard: Shows only your own profile summary by default (first name, headline, company) with an optional "View Full Profile" button. Target profiles are not exposed.

3.1 Data Processing Methodology

• User-initiated only: Analysis occurs when the user clicks Analyze; exception: one-time automatic scan of the user's own profile at setup.
• Full HTML → reduction (93–96%) → extraction: We upload the page's full HTML, apply ~93–96% reduction (e.g., ~1.7MB → ~80KB), and extract minimal structured fields.
• No raw HTML storage: Raw/minimized HTML is transient only; we retain minimal JSON necessary for the Service and analytics.
• Limited interactions: May click "See more" inside Experience only (capped, with delays). No other automated interactions.

4. Chrome Web Store Distribution & Compliance

The Services are made available via the Chrome Web Store and must comply with all applicable Google policies. Users acknowledge that installation and use of the extension are additionally subject to the Chrome Web Store Terms of Service and Google's platform rules.

5. Third-Party AI Services

The Services may integrate with external AI and analytics providers, including but not limited to OpenAI GPT-5 nano, OpenAI GPT-5 mini, OpenAI GPT-5 (full), and Google Gemini 1.5 Flash. Msgly expressly reserves the right to modify, replace, or expand the set of third-party providers and AI models used, at its sole discretion, in line with legal and business requirements.

Use of information received from Google APIs will adhere to the Chrome Web Store User Data Policy, including Limited Use requirements.

6. User Accounts and Registration

6.1 Account Creation

To use our Service, you must:

• Authenticate via Google OAuth
• Provide your LinkedIn profile URL for initial setup
• Agree to these Terms and our Privacy Policy

6.2 Account Responsibility

You are responsible for maintaining your account's security and for activity under your account. Notify us of unauthorized access immediately.

7. Acceptable Use Policy

7.1 Permitted Uses

• Generate personalized LinkedIn outreach messages
• Analyze profiles you open for legitimate business networking
• View analytics related to your outreach performance

7.2 Prohibited Uses

• Bulk or automated harvesting beyond user-initiated actions
• Activities that violate LinkedIn's terms or applicable law
• Resale or redistribution of extracted data
• Attempting to bypass rate limits or technical safeguards
• Send spam, unsolicited, or bulk messages
• Harass, abuse, or harm other individuals
• Engage in fraudulent or deceptive practices
• Distribute malware or harmful content
• Reverse engineer or attempt to access our AI models
• Use the service for any illegal activities

8. Plans, Credits, and Billing

8.1 Plan Types

We offer the following subscription plans:

• Free: 30 messages per month, no cost
• Silver: 100 messages (Monthly: $8.60/month, Pay-as-you-go: $12 one-time)
• Gold: 500 messages (Monthly: $25.20/month, Pay-as-you-go: $35 one-time)
• Platinum: 1,500 messages (Monthly: $50.40/month, Pay-as-you-go: $70 one-time)

8.2 Billing Terms

• Monthly plans: Include 7-day free trial, automatically renew unless cancelled
• Pay-as-you-go: One-time payment, credits never expire
• Free plan: No billing, credits reset monthly

8.3 Refunds

We offer refunds within 30 days of purchase if you have used less than 25% of your credits and have a valid reason for dissatisfaction.

9. Data Collection and Use

9.1 Data We Collect

We collect and process the following data:

• Profile Data: Your LinkedIn profile information (experience, education, skills)
• Target Data: LinkedIn profiles you analyze (minimal structured JSON only, for analytics and service improvement)
• Account Data: Google account information, subscription details
• Usage Data: Messages generated, features used, performance analytics

9.2 How We Use Your Data

We use your data exclusively for:

• Message Generation: Creating personalized LinkedIn messages
• Service Improvement: Enhancing our AI models and platform features
• Account Management: Providing user support and maintaining your account
• Analytics: Showing you performance metrics and insights

10. Intellectual Property Rights

Msgly.AI, including our AI models, algorithms, and platform, are protected by intellectual property laws. We retain all rights to our Service.

You retain ownership of:

• Your LinkedIn profile data
• Messages you generate using our Service
• Your account data and settings

11. Service Availability and Modifications

We strive for high availability but do not guarantee uninterrupted Service. We may modify or discontinue features, update models, or change pricing with reasonable notice.

12. Privacy and Data Protection

Your privacy is important. Please review our Privacy Policy for details on data practices. By using the Service, you consent to those practices.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. We do not guarantee that the Services will be uninterrupted, error-free, or secure at all times. We do not guarantee outcomes (e.g., response rates) or continuous availability.

14. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services shall not exceed the amount paid by the user in the preceding 12 months, if any. In no event shall we be liable for indirect, incidental, consequential, or special damages, or for actions taken by LinkedIn or other third parties.

15. Indemnification

Users agree to indemnify and hold harmless our company, affiliates, officers, and employees from any claims, liabilities, damages, or expenses arising from their use of the Services or violation of these Terms.

16. Termination

16.1 Termination by You

You may terminate your account at any time by contacting us. Paid subscriptions will continue until the end of the billing period.

16.2 Termination by Us

We may suspend or terminate access for violations of these Terms, security risks, non-payment, or legal requirements.

17. Force Majeure

We are not responsible for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, strikes, acts of war, government actions, or internet outages.

18. Governing Law and Disputes

These Terms are governed by the laws of Israel. Any disputes will be resolved through binding arbitration in Tel Aviv, Israel. Users agree that any claims will be brought on an individual basis only and not as part of a class, consolidated, or representative action.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

20. Entire Agreement

These Terms constitute the entire agreement between the parties regarding the Services and supersede all prior agreements, written or oral, relating to its subject matter.

21. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through our Service. Continued use constitutes acceptance of updated Terms.
